Terms and con­di­tions of supply

Off-the-shelf com­pa­ny

The buyer supplies the neces­sa­ry infor­ma­tion elect­ro­nical­ly or in a per­so­nal mee­ting. The drawing up of the memo of the deed and chan­ge noti­fica­tion begins when the sel­ler has recei­ved the infor­ma­tion. When the sale price of the sha­res and Sofin­vest Oy’s invoice for arran­ging the purc­ha­se and hand­ling the chan­ge noti­fica­tion to the Patent and Regi­stra­tion Office (PRH) have been paid, the docu­ments are sig­ned, unless otherwi­se agreed.

If the buyer does not return the sig­ned chan­ge docu­ments wit­hin 10 days, the chan­ge noti­fica­tion will only be done to noti­fy the PRH about the resig­na­tion of the old board of direc­tors. Costs rela­ted to a delay in the sub­mis­sion of docu­ments are bor­ne by the cus­to­mer. We make a chan­ge noti­fica­tion to the Tra­de Regis­ter on the basis of the details given to us, and the client is res­pon­sible for the accu­racy and regi­stra­bi­li­ty of the supplied infor­ma­tion.

The­re is no right to cancel when purc­ha­sing a com­pa­ny.
The buyer pays the trans­fer tax.

Com­pa­ny regi­stra­tion ser­vice

The buyer supplies the infor­ma­tion neces­sa­ry for regis­te­ring the com­pa­ny elect­ro­nical­ly or in a per­so­nal mee­ting. The com­pi­ling of the regi­stra­tion cont­ract, the articles of associa­tion and the com­pa­ny regi­stra­tion noti­fica­tion begins when the sel­ler has recei­ved the infor­ma­tion. When Sofin­vest Oy’s invoice for regis­te­ring the com­pa­ny has been paid, the docu­ments are sub­mit­ted to the Tra­de Regis­ter to regis­ter the com­pa­ny, unless otherwi­se agreed.

The client of Sofin­vest Oy’s com­pa­ny regi­stra­tion ser­vice is the foun­der of the com­pa­ny and Sofin­vest Oy offers con­sul­ting and assis­tance with drawing up the com­pa­ny regi­stra­tion docu­ments and sub­mit­ting them for regi­stra­tion. We com­pi­le com­pa­ny regi­stra­tion docu­ments on the basis of the details given to us, and the client is res­pon­sible for the accu­racy and regi­stra­bi­li­ty of the supplied infor­ma­tion.

If the Tra­de Regis­ter does not regis­ter the new com­pa­ny using the infor­ma­tion supplied by the client, or if the client cancels his or her com­pa­ny regi­stra­tion noti­fica­tion, Sofin­vest Oy is not obli­ga­ted to return the funds it has invoiced for the com­pa­ny regi­stra­tion ser­vice.

Address ser­vice

The address ser­vice cont­ract is always drawn up in wri­ting. The cont­ract is valid eit­her for a fixed period or until furt­her notice. The notice period for ter­mi­na­ting a cont­ract valid until furt­her notice is 1 calen­dar month for each par­ty to the cont­ract. The par­ties agree on the forwar­ding of post and the client of the ser­vice is always res­pon­sible for the accu­racy of the forwar­ding address he or she supplies. The client of a scan­ning and elect­ro­nic post forwar­ding ser­vice gives Sofin­vest Oy per­mis­sion to open his
or her post.

Scan­ning and elect­ro­nic forwar­ding of post wit­hin 24 hours of deli­ve­ry to our address, and the time­table of forwar­ding via the pos­tal ser­vice, are agreed upon sepa­ra­te­ly. When the cont­ract ends, the ser­vice client is res­pon­sible for regis­te­ring his or her new address and Sofin­vest Oy is not res­pon­sible for forwar­ding or sto­ring the client’s post that arri­ves at the address service’s address. Sofin­vest Oy has the right to instruct sen­ders of the ser­vice client’s post not to send post to the service’s address any lon­ger.
