Terms and conditions of supply
Off-the-shelf company
The buyer supplies the necessary information electronically or in a personal meeting. The drawing up of the memo of the deed and change notification begins when the seller has received the information. When the sale price of the shares and Sofinvest Oy’s invoice for arranging the purchase and handling the change notification to the Patent and Registration Office (PRH) have been paid, the documents are signed, unless otherwise agreed.
If the buyer does not return the signed change documents within 10 days, the change notification will only be done to notify the PRH about the resignation of the old board of directors. Costs related to a delay in the submission of documents are borne by the customer. We make a change notification to the Trade Register on the basis of the details given to us, and the client is responsible for the accuracy and registrability of the supplied information.
There is no right to cancel when purchasing a company.
The buyer pays the transfer tax.
Company registration service
The buyer supplies the information necessary for registering the company electronically or in a personal meeting. The compiling of the registration contract, the articles of association and the company registration notification begins when the seller has received the information. When Sofinvest Oy’s invoice for registering the company has been paid, the documents are submitted to the Trade Register to register the company, unless otherwise agreed.
The client of Sofinvest Oy’s company registration service is the founder of the company and Sofinvest Oy offers consulting and assistance with drawing up the company registration documents and submitting them for registration. We compile company registration documents on the basis of the details given to us, and the client is responsible for the accuracy and registrability of the supplied information.
If the Trade Register does not register the new company using the information supplied by the client, or if the client cancels his or her company registration notification, Sofinvest Oy is not obligated to return the funds it has invoiced for the company registration service.
Address service
The address service contract is always drawn up in writing. The contract is valid either for a fixed period or until further notice. The notice period for terminating a contract valid until further notice is 1 calendar month for each party to the contract. The parties agree on the forwarding of post and the client of the service is always responsible for the accuracy of the forwarding address he or she supplies. The client of a scanning and electronic post forwarding service gives Sofinvest Oy permission to open his
or her post.
Scanning and electronic forwarding of post within 24 hours of delivery to our address, and the timetable of forwarding via the postal service, are agreed upon separately. When the contract ends, the service client is responsible for registering his or her new address and Sofinvest Oy is not responsible for forwarding or storing the client’s post that arrives at the address service’s address. Sofinvest Oy has the right to instruct senders of the service client’s post not to send post to the service’s address any longer.
